1) Based upon the 'evidence' outlined in last week's course readings, what corporate governance principles would you recommend relative to both board composition and compensation? What empirical justification can you offer for your views?

2) Compaq has been consistently cited as a company which adheres to sound corporate governance principles. Several of these principles are outlined on the Compaq web site. In light of our course readings, evaluate the appropriateness of these principles.
