Thomas E. Darcy

Director, Executive Vice President and Chief Financial Officer

Thomas E. Darcy is currently a Director, Executive Vice President and Chief Financial Officer of Tocagen Inc., a biopharmaceutical company pursuing the discovery, development and commercialization of products for the treatment of cancer. Mr. Darcy has previously served for over five years as Executive Vice President and Chief Financial Officer of Science Applications International Corporation (SAIC), a Fortune 500 science and technology company, and prior to that was a Partner in the accounting firm of PricewaterhouseCoopers LLP (PwC). During his twenty-seven year career with PwC Mr. Darcy served as the Managing Partner of both the West and Southwest Region Audit and Business Advisory Service Technology practices, as well as the Managing Partner of the San Diego office. His clients included biotechnology and high technology companies such as Agouron Pharmaceuticals, Synbiotics, Canji, SIBIA, Telios, Qualcomm, Compaq Computer and The Walt Disney Company, and he assisted these clients with numerous venture capital, public offering and acquisition transactions. He also developed the firm's first course on initial public offerings, and co-authored the firm's companion handbook entitled "Taking Your Company Public."

Mr. Darcy also currently serves as a director and chairman of the audit committee at McAfee, Inc., a NYSE company, and has previously served on the board as chairman of the audit committee at AMSEC, a joint venture between SAIC and Northrop Grumman Newport News with revenues of $470 million, as well as on the board of Telcordia Technologies, a wholly owned subsidiary of SAIC with revenues in excess of $1 billion.

Mr. Darcy is a member of the American Institute of CPA's and the California Society of CPA's. His current community activities include serving on the Board of Directors of the College of Business Administration at San Diego State University (SDSU), the Board of Directors of the Campanile Foundation at SDSU, the Board of Advisors to the School of Accountancy at SDSU, the Board of Trustees of the Foundation for Enterprise Development, and the Board of Directors of the YMCA of San Diego County, where he also serves as chair of the audit committee. He has previously served on the Board of Directors of the Economic Development Corporation of San Diego, BIOCOM San Diego, the Board of Trustees of the San Diego Space and Science Foundation, the Steering Committee of the UCSD CONNECT Program for Technology and Entrepreneurship, and the Board of Directors of ACCION San Diego. He has also previously served in officer capacities for both the San Diego chapter of the Delta Upsilon Alumni Association and the Del Mar Little League.

Mr. Darcy graduated from San Diego State University in 1973 with a B.S. in Business Administration as an accounting major, and has also completed the UCLA Anderson Graduate School Advanced Executive Program "Competing in a Global Environment". He earned his California Certified Public Accounting Certificate in 1976, and maintains it in an active status.
